PJSC Enel Russia held its Annual General Meeting of Shareholders

Moscow, June 07, 2022 - The results of the PJSC Enel Russia Annual General Shareholders' Meeting once again held in absentia have been summarized today. The shareholders holding in aggregate 78.15% of the company’s shares participated in the voting. The list of the participants having the right to participate in the meeting was compiled as of May 13, 2022.

Approval of the Annual Report of the Company and the Annual Accounting (Financial) Statements for 2021, profit-and-loss distribution based on the results of 2021 and election of the new membership of the Board of Directors of PJSC Enel Russia were the key issues on the agenda.

The General Shareholders' Meeting approved the annual report as well as the annual accounting (financial) statements of PJSC Enel Russia for 2021. Following the recommendation of the Board of Directors the General Shareholders' Meeting decided not to pay dividends and leave the available profit at the disposal of the company. 

The Annual General Shareholders' Meeting of PJSC Enel Russia elected a new Board of Directors consisting of 11 members:

  • Linnikov Aleksander Sergeevich
  • Gadzhiev Grigory Hochbarovich
  • Rakitin Andrei Aleksandrovich
  • Ovanesov Aleksander Alexandrovich
  • Tyurnikov Anatoly Mikhailovich
  • Nesterenko Alexandra Konstantinovna
  • Ruzmetova Madina Iskandarovna
  • Sitdekov Tagir Alievich
  • Plaksina Tatiana Vitalievna
  • Zarkhi Mikhail Arkadievich

The General Shareholders' Meeting also approved the company's auditor - Joint Stock Company KPMG.

Moreover, the Annual General Shareholders' Meeting approved the conclusion of liability insurance contracts for the Directors and Officers that are related-party transactions.
